These Terms & Conditions ("Terms") govern your use of www.royaclinical.com (opens in a new tab) (the "Site"), operated by Roya Clinical Solutions LLC ("Roya", "we", "us"), a Florida limited liability company. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site
The Site provides general information about Roya's clinical research services for biotechnology and pharmaceutical sponsors and lets you contact us. It is intended for business and professional audiences.
2. No Medical Advice and No Offer
Content on the Site is for general information only. It is not medical advice, is not a substitute for professional medical judgment, and does not describe or offer enrollment in any clinical trial. Nothing on the Site is an offer to provide services. Any services are provided only under a separate written agreement between Roya and a client.
3. Your Submissions
When you submit a form or contact us, you agree that:
- the information you provide is accurate and that you are authorized to share it;
- you will not submit personal health information, information about patients or study participants, or confidential information you are not permitted to disclose;
- submitting an inquiry does not create a client relationship, a confidentiality obligation or any obligation for Roya to provide services. Confidential discussions take place under a separate confidentiality agreement.

4. Acceptable Use
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- attempt to gain unauthorized access to the Site, its servers or related systems;
- interfere with the Site's operation, including by introducing malware or sending automated or bulk submissions;
- scrape, copy or harvest content or contact information from the Site by automated means;
- impersonate any person or misrepresent your affiliation with any organization.
5. Intellectual Property
The Site and its content, including text, graphics, logos and the "Roya" name and marks, are owned by or licensed to Roya and are protected by intellectual property laws. You may view and print pages for your own internal business reference. You may not otherwise copy, modify, distribute or create derivative works without our prior written permission.

The Site may link to third-party websites. We do not control them and are not responsible for their content, policies or practices. Visiting them is at your own risk.

8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ROYA AND ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. In no event will Roya's total liability arising from or related to the Site exceed one hundred U.S. dollars (US$100).
9. Indemnity
You agree to indemnify and hold Roya harmless from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Site or breach of these Terms.
10. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Orange County, Florida, and you consent to their jurisdiction.
11. Changes
We may update these Terms. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Site after changes take effect means you accept them.
12. General
If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and Roya about the Site.
